Terms of service

These terms govern your access to and use of the Convexa AI website and service. By using either, you agree to them. If you are entering into these terms for an organisation, you confirm you have authority to bind it. Enterprise customers may instead sign a separate master agreement, which prevails over these terms where they conflict.
1. Agreement
"Convexa", "we" refers to Convexa AI Ltd. "You" refers to the person or organisation using the website or service. These terms, together with our Privacy Notice and any order form or master agreement, form the entire agreement between us.
2. The service
Convexa designs, deploys, and operates AI voice agents that handle telephone calls on your behalf — including booking, qualification, support, and call routing. The specific scope, volumes, and service levels for a deployment are set out in your order form. We may improve or change features over time, and will give reasonable notice of material changes that reduce core functionality.
3. Accounts
You are responsible for the accuracy of the information you provide, for activity under your account, and for keeping credentials secure. Notify us promptly of any unauthorised use.
4. Acceptable use
You agree not to use the service to:
- break the law, or place calls without the consent or notice required in the relevant jurisdiction;
- impersonate a person or organisation in a deceptive or unlawful way;
- harass, defraud, or harm call recipients;
- send unlawful marketing, or call numbers on an applicable do-not-call register without a lawful basis;
- attempt to disrupt, reverse-engineer, or gain unauthorised access to the service.
You are responsible for ensuring your use of voice agents complies with the telecoms, consumer-protection, and data-protection rules that apply to you.
5. Customer data
You retain all rights to the data you provide and the call content generated by your deployment. You grant us the rights needed to process it to provide the service. Where we process personal data on your behalf, our data processing addendum applies. We do not use your call content to train third-party models.
6. Fees
Fees are set out in your order form, or on our pricing page for standard engagements. Usage-based charges are billed in arrears. Unless stated otherwise, fees are exclusive of VAT and other applicable taxes. Late amounts may be subject to interest as permitted by law.
7. Intellectual property
Convexa and its licensors own all rights in the service, the underlying technology, and our trademarks. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your engagement. No rights are granted except as expressly stated.
8. Warranties & disclaimers
We provide the service with reasonable skill and care. Beyond that, and to the extent permitted by law, the service is provided "as is" without further warranties. AI voice agents are probabilistic systems; we do not warrant that every call outcome will be correct, that the service will be uninterrupted, or that it will meet a specific business result. You are responsible for reviewing and approving how your agents are configured for your use case.
9. Liability
Nothing in these terms limits liability that cannot be limited by law. Subject to that, neither party is liable for indirect or consequential loss, and each party's total liability is capped at the fees paid or payable in the 12 months before the event giving rise to the claim. Enterprise agreements may set different limits.
10. Term & termination
These terms apply while you use the service. Either party may terminate for material breach that is not cured within 30 days of notice. On termination, your right to use the service ends and we will, on request, make customer data available for export for a limited period before deletion in line with our retention policy.
11. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction, unless your master agreement states otherwise.
